Aircraft Bidder - Terms and Conditions for access to The Hangar

Permission to Use Bidding Software and Website:
Aircraft Bidder, as the “Firm”and/ or The Hangar as an on-line sales platform, authorizes you, as registered bidder, to use this software and website for purchasing purposes. By using this software to place an offer: (i) you acknowledge that you have read and understand all of the written terms, conditions, and disclaimers set forth herein; (ii) you agree to all such terms, conditions, and disclaimers; (iii) you agree to all of the terms, conditions, and disclaimers of the Firm for the specific sale in which you are placing an offer. You further agree not to copy, reproduce, or publicly display any content from the website or software outside the functions of the website without first obtaining written permission from the Auction Firm.
Registration to Participate in Bidding:
In order for you to participate in our online sales, you must create a bidder profile and become a registered subscriber to the site. You agree to provide true, accurate, current, and complete information about yourself and/or your organization, as applicable, as requested during the registration process. This must include contact information where you can be reached during and after an auction. The Firm is committed to keeping your information secure. An annual subscription fee will be charged to you for as long as you opt to remain subscribed or until your subscription is terminated for violation of these terms and conditions.
You must be 18 years of age or older and have full legal capacity to complete such contractual action without need for any additional approval or consents. If you do not qualify, you are not permitted to participate in our online sales or auctions.
Bidding Process:
It is your responsibility to read and understand the online terms, including these Terms and Conditions and any sale-specific terms in the listing. You are required to select a checkbox to accept such terms upon registering for online sales and before placing a bid for each aircraft. You will also be required to digitally sign a copy of the current terms and conditions. Only individuals who are registered and have agreed to the terms are qualified to place offers.
These Terms and Conditions are subject to change from time to time. No changes will occur during your subscription unless agreed mutually agreed upon, and the version you will be required to accept will be the current version applicable as accepted by both parties.
You can search through the various sales that may be open. By selecting a particular sale you may view the item and any associated details and documents. Each sale is independent of all others and therefore any bids you wish to submit must be placed on each auction or sale separately.
Remember, once the “Submit Offer” button is clicked that offer is final and is a legally binding offer to purchase the item(s) being offered.
You will be advised as soon as your offer has been accepted by the Seller, or in the event that your offer meets the Seller’s pre-established reserve price, if such reserve price exists.
In the event of multiple offers coming in precisely at the same time, the software will decide the leading offer and we cannot guarantee your bid will be the high bid. We strongly encourage you to place your final bid prior to the auction closing time.
By agreeing to these terms and bidding in a sale, you attest that you are both willing and capable of paying the bid amount, plus the buyer's premium, plus taxes and transfer costs, before placing each bid. Financing, if necessary, should be fully approved before your bidding starts and must be available within the timeframe described in these terms and conditions.
The inability to obtain financing does not relieve you of your legal agreement to purchase the item and if you cannot complete the transaction, you forfeit your deposit.
Bidding in an Online Only Sale:
Any bid that you place through the software in a sale is a legally binding offer to purchase the item(s) being sold. Your bid (i.e., offer) may be accepted by the Seller, in which case is a legally binding agreement that will be in place between you and the Seller. The terms, conditions, and disclaimers of the Firm for that specific sale will be part of such agreement.
Bid Status During a Sale:
All offers shall be accepted, or rejected, by Aircraft Bidder and the Seller. All offers are considered pending until accepted. Aircraft Bidder and the Seller have the sole and absolute discretion to accept the offer, including the discretion to reject any offer which Aircraft Bidder believes does not advance the sale and/or is injurious to the sale. Offers that may be rejected include without limitation bids that appear to Aircraft Bidder to be nominal, suspicious and/or fraudulent.
Unless stated otherwise all sales are considered as "Reserve Sales", meaning a sale in which the seller or an agent of the seller reserves the right to establish a stated minimum acceptable bid/ offer, the right to reject or accept any or all bids/ offers, or the right to withdraw the items at any time prior to the completion of the sale by the Firm.
The Close of a Sale:
Aircraft Bidder shall have sole discretion in deciding the successful bidder in the event of a bidding dispute. Aircraft Bidder’s determination of the successful bidder shall be final and upon such determination the item shall be considered as “SOLD”.
Total Sale Price and Payment Terms:
All sales are final upon the determination of the successful bidder by Aircraft Bidder. The successful bidder is subject to all terms and conditions listed in this document, as well as in the listing for each sale.
The final Total Sale Price will be established by Aircraft Bidder. The amount of the buyer’s premium will be announced in the listing of each sale prior to the listing of the sale.
If you are deemed as successful bidder, you will pay the Total Sale Price, which shall include: (i) the amount of your winning bid, (ii) any commissions payable by the buyer as announced in the listing, (iii) premiums, and (iv) other expenses that are set forth in these terms and conditions, as well as the aircraft listing.
Tax laws vary per state and is the bidder’s responsibility to research prior to close of auction for your understanding and to pay tax, when applicable.
Title transfer fees and associated costs will be paid 50% by seller and 50% by buyer, unless stated otherwise in a specific auction listing.
Payment of an initial deposit (placed with Aircraft Bidder) is due within 1 business day of the acceptance of an offer. Payment of the Total Sale Price is due in full within 3 business days after the determination of the successful bidder, or within 5 business days with preapproved financing. Funds must be placed via wire transfer. The deposit required as part of registration will be counted toward the funds in escrow.
You agree to indemnify and hold the Firm and their employees, contractors, representatives, and agents harmless from and against any and all costs, expenses, losses, and damages (collectively "damages"), including, without limitation, reasonable attorney's fees, the Firm may incur with respect to your failure to pay all amounts that you are legally required to pay as the successful bidder.
Seller’s Agent:
Neither the Firm, Firm’s Licensor, nor the Firm Manager, is your employee, contractor, representative, or agent, with respect to any sale in which you may participate. The Firm is providing an internet-based service that enables you to place a bid with The Hangar regarding a specific sale. The Firm, Firm Manager, and their employees, serve as agents to the seller, not the buyer.
Inspections:
Unless otherwise expressly provided by the Firm, all property is sold in its "as-is" condition on the day of the sale. It is the bidder's responsibility to determine the nature, condition, and state of title of the property to be purchased. This inspection of said property can be inspected during a specific inspection time(s) announced in the listing and will take place prior to making any bid/ offer on an aircraft.
Receiving Items Purchased:
Unless otherwise expressly provided by the Firm, all property is sold where it is located on the day of the sale ("where-is"). The successful bidder shall make arrangements with the Firm for your pickup of any items that are purchased.
Payment in full must be received prior to pick up of the item(s) purchased. Loading, delivery, and/or shipping costs are not included in the bid price and are the buyer’s sole responsibility, unless agreed otherwise in writing between potential buyer and the Firm prior to the closing of the sale.
Governing Laws:
Aircraft Bidder is licensed and governed by laws of the State of Ohio as well as other appropriate states as required for the sale of each specific aircraft.
Returns:
There shall be no returns or exchanges except as may be expressly permitted in writing by the Firm under its terms and conditions for the given sale.
Agreement of Terms:
Acceptance and agreement of the terms listed in this document, as well as advertisements, announcements, and statements, made in each listing, is mandatory prior to any person registering and/or bidding in a sale.
